Daphne Sue Suet Yan

Daphne Sue Suet Yan graduated from the University of Warwick with a LL.B (Hons) in 2017 and obtained the Certificate in Legal Practice in 2018.

She underwent her pupillage in Adnan Sundra & Low, where she had good exposure in the department of debt capital market and banking & finance and was actively involved in legal due diligence, drafting of legal documents and advisory matters.

She was admitted to the Malaysian Bar in January 2020. She then joined Azmi & Associates in March 2020 as an Associate, under the supervision of Dato’ Azmi Mohd Ali where she gained experience in corporate matters.

Some of her notable assignments include:

• Assisted in a reverse-takeover exercise of Ancom Logistics Berhad (listed on ACE Market) including conducting detailed legal due diligence and drafting circular;

• Assisted in an unconditional mandatory take-over offer to acquire all the remaining shares of Pimpinan Ehsan Berhad (listed on Main Market);

• Assisted in a private placement of new ordinary shares in Malaysian Smelting Corporation Berhad including drafting verification notes, meeting minutes and preparing legal due diligence report.;

• Assisted in a selective capital reduction and repayment exercise via court confirmation procedure pursuant to Section 116 of Companies Act 2016;

• Assisted in setting-up and registration of a franchise, including drafting licensing and franchise agreements;

• Reviewed the classification of Strategic Items under the Strategic Trade Act 2010 with Ministry of International Trade and Industry (MITI) to exempt the application for approved permit for an export manufacturing company including drafting and submission of memorandum and attending meeting with MITI Officers;

• Assisted in a sale and purchase transaction of a property of RM170 million;

• Advised on a joint venture exercise between a local company and an US company; and

• Assisted and advised in the following acquisition exercises including conducting legal due diligence and drafting shareholder’s agreement, share purchase and subscription agreement, investment agreement and security document:

– acquisition of entire ordinary share capital in an insurance broker company;

– acquisition of shares/assets of a private hospital;

– acquisition of a mask manufacturing company by acquiring 25% ordinary shares and subscribing 10 million redeemable preference shares of the company; and

– acquisition of solar farms with a total capacity of approximately 64MWa.c. and the issuance of redeemable preference shares to the investors of the project.

She is currently part of our Mergers, Acquisitions and Corporate Practice Group 6 under our Partner, Jonathan Law.

Nur Athirah Fitri Mohd Riffin graduated from International Islamic University Malaysia (IIUM) with a LL.B (Hons) in 2019 and LL.B (Shariah) in 2020. She has undergone an internship with Messrs. Salman, Apandi, Mizi & Azmi in June 2017 until September 2017. Throughout the tenure of her internship, she has explored mainly to conveyancing matters, where she was trained to liaise matters with clients, banks and developers as well as preparing documents in relation to conveyancing.

She was also an active student participating in talks and seminars organized by IIUM and had also involved herself in Law Student’s Society as the treasurer of the bureau. She also involved herself in extra cocurricular activity as a member of Sukarelawan Siswa Siswi, under the PDRM and was commissioned as Inspector SP in 2018.

She has passion in Islamic Banking, Corporate and Conveyancing.  She is currently undergoing her pupilage and her master is our Partner, Mr. Jonathan Law.

Nur Amalina Azami

Nur Amalina Azami is an associate in the Mergers, Acquisitions and Corporate Practice Group. She graduated with LL.B (Hons) from Ahmad Ibrahim Kulliyyah of Laws (AIKOL), International Islamic University Malaysia (IIUM) in 2020.

She joined Azmi & Associates as a pupil in March 2020. During her pupillage, she has been trained and exposed to general corporate and property matters under the guidance of our Senior Partner, Dato’ Azmi Mohd Ali as well as litigation and admiralty law under our Partner, Philip Teoh.

She was admitted as an Advocate and Solicitor of the High Court of Malaya in February 2021 and thereafter continue her legal practice with the Firm until today. She is currently part of the Mergers, Acquisitions and Corporate Practice Group under our Partner, Norhisham Abd Bahrin. She assists the team for transactions on mergers and acquisitions, private equity and venture capital, fund investments and other corporate as well as compliance matters.

Among the notable assignments that Amalina has attended since her pupillage days until recently are as follows:

• Assisted in drafting and reviewing agreements for lease of land between Perak State Agricultural Development Corporation (SADC) and a private limited company for the purpose of development and management of public herb garden in Perak;

• Assisted a public listed company in drafting offer letters for renewal of sub-lease of lands for approximately 3000 sub-lessees as part of the due diligence exercise;

• Assisted in drafting cause papers and proceedings involving winding-up and execution of winding-up of private companies in the High Court;

• Assisted in drafting cause papers for matters involving Admiralty Law issues in the High Court and Court of Appeal;

• Assisted a private equity fund management company in conducting due diligence exercises in relation to the setting up of their private equity and venture capital funds as well as for the investments in private local companies;

• Assisted a public listed company in conducting due diligence exercise, advising and preparing the documentations including drafting and reviewing the by-laws in relation to a proposed establishment of Employee Share Option Scheme (ESOS) within the company’s group;

• Assisted in drafting and issuing a legal memorandum to a private Singaporean company regarding capital markets services license in Malaysia;

• Assisted a private Indian company in conducting a due diligence exercise on behalf of the vendor in relation to the proposed sale of up to 100% of the share capital of the holding company; and

• Assisted in drafting and reviewing number of documents such as letters of demand, sale & purchase agreements, shareholders agreements, subscription agreements and joint-venture agreements.

Nadia Emira Sazahan graduated from University of Technology MARA (UiTM) Shah Alam with a LL.B (Hons) in 2017.

She recently completed her on-job-training under the 1Malaysian Training Scheme (SL1M) at the Legal & Regulatory Division of Lembaga Tabung Haji. Throughout the eleven months of her training, she was given the opportunity to join the legal managers in committee meetings, take part in reviewing contracts and research for matters related to Tabung Haji. She was also assisted legal officers in clerical and administration duties apart from miscellaneous works. Furthermore, she had chance to join the Operasi Haji Tanah Air (OHTA) which is an operation to assist the pilgrims for their preparation to Mecca/Medina and also emceed two events during the SL1M programme.  

She did her attachment at the Teluk Intan’s Magistrate Court in August 2015. During one month of her internship, she assisted the court officers with recording cases and miscellaneous works apart from observing the Magistrate’s duties and trial procedures.  

She is currently working closely with our Senior Partner, Dato’ Azmi Mohd Ali and with our En. Mohd Ashraf bin Ramli.

Intan Zarifah Latif

Intan Zarifah Latif graduated from Faculty of Law, Universiti Teknologi MARA (UiTM) Shah Alam with a LL.B (Hons) in 2019. She was attached to High Court of Alor Setar during her university days. She also attached to Magistrate Court of Alor Setar under observation of Senior Registrar, Puan Azah Binti Idris. During the tenure of the attachment, she has explored litigation work which mainly focused on criminal litigation. During final year of LL.B she was exposed to corporate law and practice taught by Amir Zhariff Abdullah. She was responsible for a number of corporate files during her final semester. She was assigned with drafting and reviewing agreements which include Limited Liability Partnership Agreements, Joint Venture Agreements and Loan Agreements. She was also exposed briefly to mergers and acquisition, corporate restructuring and initial public offering (IPO). She is familiar with ensuring regulatory compliance as she had the opportunity to oversee a few files that require compliance with statutory regulations such as the Private Healthcare Facilities & Services Act 1998 and Rules and Regulations of the Securities Commission.

Last but not least, she was an active participant in events organized by UiTM such as being a participant in Inter-Moot Competition during her foundation days (2013), a Program Director for Law Society UiTM for Annual Grand Meeting Event and also as the Head of Crowd Control Committee for UiTM Mock Trial. She is eager to explore and learn other areas of law and particularly interested in Banking and Finance, Project Finance, Mergers and Acquisitions, Joint Ventures, Corporate Restructuring, and Energy, Oil and Gas.

She is currently undergoing her pupilage and her master is our Partner Ms. Moo Eng Thing and will be working closely with our Senior Partner, Dato’ Azmi Mohd Ali and with our En Mohd Ashraf bin Ramli.

Farhah Hayati Mamat

Farhah Hayati graduated from International Islamic University Malaysia (IIUM) with Second Class Upper LL.B (Hons) in September 2002.

During her undergraduate studies, she also joined a programme in the Law Centre of Ahmad Ibrahim Kulliyyah of Laws at IIUM and obtained a certificate in Company’s administration (“CICA”) in 2003.

After graduation, she was attached to Messrs. Azmi & Associates and was mainly exposed to corporate matters under the supervision of associates of the firm. She started her pupilage in October 2002 with Messrs. Hasnan Hamzah, whereby she was exposed to litigation matter under the supervision of En. Hasnan himself. Subsequently, in November 2002, she continued her term of pupilage with this Firm under the supervision of our Senior Partner, En. Azmi Mohd Ali, whereby she assisted in conducting corporate due diligence exercises for the purpose of submission to the Securities Commission and other various corporate works.

In addition, she also assisted in drafting and preparing the financing documents in Islamic Banking, registry works related to intellectual property protection specifically in trademarks registration, probate and administration in Islamic Law, drafting and preparing the agreements in relation to the acquisition of shares in public listed company, cross border transactions, opinions and also assisted in conducting researches for litigation matters, contracts, as well as corporate matters.

Dayang Roziekah Ussin graduated with a First Class Bachelor of Law LL.B (Hons) from the National University of Malaysia (UKM) in 2017.

She was the recipient of the prestigious Vice Chancellor Award of UKM 2017, Faculty of Law Alumni Award 2017, Anugerah Tokoh Siswa Sukarelawan UKM 2014 and a finalist of Anugerah Tokoh Siswa Kebangsaan 2014. All these were attributed to her consistent academic achievement in securing the Dean’s List Award whilst being a student leader in various legal and non-legal projects and programs throughout her university years.

Upon graduation, she joined the Firm as a pupil in which she was extensively exposed to both litigation and corporate practice areas, having assisted in numerous litigation matters and several corporate exercises.

She was called to the Malaysian Bar and admitted to the roll of Advocates and Solicitors on 3rd of August 2018. Thereafter, she has been assisting and heavily involved in a broad range of civil and general litigation matters including contractual and tort claims, land disputes, tax matters, estate and administration, and execution proceedings. On 1st of April 2021, she was promoted as Senior Associate 2.

Some of Dayang’s notable assignments to date include representing one of the subsidiaries of a Malaysian business conglomerate in a successful appeal before the Special Commissioners of Income Tax against an additional assessment of income tax and penalty imposed by the Inland Revenue Board of Malaysia in the sum of more than RM8 million, and representing a wholly-owned subsidiary of a statutory body up to the Federal Court level in a successful application for the counterparty to deposit a sum of RM30 million into Court pending the final disposal of the court suit.

Mohammad Hazim graduated from University of Malaya with LL.B (Hons) in 2016.

He was called to the Malaysian Bar on 18th May 2018.

Nur Amalena Binti Azan graduated from The University of Adelaide, South Australia with LL.B in 2014. She completed her Certificate in Legal Practice (“CLP”) in November 2016.

She has undergone an internship with PETRONAS Lubricants International Sdn. Bhd. (“PLISB”) (PLISB is the global lubricants manufacturing and marketing arm of PETRONAS, the national oil corporation of Malaysia) in June 2015 for 6 months. During the tenure of the internship, she has explored mainly in corporate work, where she was trained to write succinctly whilst carrying out research tasks and drafting letters. She was then retained as Legal Assistant in the same company where she got to draft agreements, routing contracts and minutes of meetings. She was an active student participating in few volunteer work  such as being involved in an environmental program which was conducted by ‘The Australian Conservation Foundation’.
