Azmi & Associates acted as Malaysian legal counsel to the Frasers Property Ltd in connection with the establishment of a 50:50 joint venture with Tan & Tan Developments Berhad (“TTDB”) for the proposed development of PJ Quarter, a 5.15-hectare mixed-use development in Section 13, Petaling Jaya.

Our involvement comprised three principal transaction workstreams:

1. We advised Fraser & Neave Holdings Bhd (“FNHB”) in connection with the sale of its 50% equity interest in Vacaron Company Sdn Bhd (“Vacaron”) to TTDB, including the negotiation and finalisation of the Sale and Purchase of Shares Agreement and related completion and transaction documents.

Upon completion of the sale, TTDB will hold a 50% equity interest in Vacaron, with the remaining 50% interest continuing to be held by Frasers Property Holdings (Malaysia) Pte Ltd (“FPH”).

2. We advised FPH in relation to the establishment and governance of the 50:50 joint venture between FPH and TTDB through Vacaron, including the negotiation and finalisation of the Shareholders’ Agreement governing the parties’ respective rights and obligations in relation to the joint venture and the proposed development of PJ Quarter.

3. We advised on the preparation and finalisation of the suite of project management and ancillary services agreements relating to the development and operation of PJ Quarter, including the project management, corporate management and administrative support, and sales administration, sales management and marketing arrangements between Vacaron and TTDB.

The transaction marks Frasers Property’s first collaboration with Tan & Tan and will see the parties jointly undertake the development of PJ Quarter as an integrated mixed-use precinct comprising residential, retail and community components.
