We are pleased to share that we have successfully co-advised Advanced Drainage Systems, Inc., a multibillion-dollar, NYSE-listed leading provider of innovative water management solutions, alongside with the main counsels Squire Patton Boggs (US) LLP and Davis Polk & Wardwell LLP, on its US$1 billion global carve-out acquisition of NORMA Group SE’s water management business.

While the acquisition spans multiple jurisdictions under a global share purchase agreement, which Azmi & Associates also reviewed, our main focus was on the Malaysian target company, Norma Products Malaysia Sdn Bhd, a leading manufacturer of thermoplastic fittings based in Perak, Malaysia.

Our role included conducting legal due diligence on the target company, advising Advanced Drainage Systems, Inc. on the Malaysian Local Share Transfer Agreement with the counterparty (through its counsel, Rahmat Lim & Partners), and providing Malaysian law support throughout the acquisition process, with a view to ensuring legal compliance and commercial efficiency.

The transaction was led by our Senior Partner, Dato’ Azmi Mohd Ali, and assisted by Senior Associate Farah Deena, Managing Associates Jane Lau, Associate Amir Fahmi Annas, Khong Ling Qi, Muhammad Danial Azli, and Sharmaine Yap Ern Xie.
