Nur Hashima Edhan graduated with a First Class Bachelor of Law LL.B (Hons) from the International Islamic University Malaysia (IIUM) in 2022 where she was awarded with three awards at the 38th IIUM Convocation: Best Student (Academic), Overall Best Student for Company Law, and Overall Best Student for Professional Practice.
In 2022, she joined Azmi & Associates as a trainee solicitor, where she gained hands-on experience and training in key areas, specifically, Mergers and Acquisitions, Corporate and Commercial Laws, and Private Equity and Venture Capital Fund Investments.
Upon completing her pupillage, she was admitted as an Advocate and Solicitor of the High Court of Malaya in 2023. She was subsequently retained under the Mergers & Acquisitions (M&A) and Corporate Practice Group, working under the supervision of Partner Norhisham Abd Bahrin.
Some of her key assignments at Azmi & Associates include:
1. Advised Uzma Berhad, a leading Malaysian new energy company, on a proposed investment in a Kedah-based solar company jointly owned by Spanish stakeholders.
2. Advised on the proposed acquisition of 100% equity in a leading Malaysian coastal shipping company and its 22 subsidiaries by a Malaysian marine and logistics services company.
3. Assisted UMW Corporation Sdn Bhd, a wholly-owned subsidiary of UMW Holdings Berhad (UMW), in its proposed collaboration with Toyota Industries Corporation (Japan) (TICO). This involved establishing a special purpose vehicle, UMW Toyota Material Handling Sdn. Bhd. (UTMH), and facilitating the sale of a 26% stake in UTMH to TICO for RM260 million.
4. Assisted UMW Corporation Sdn Bhd in its proposed collaboration with Toyota Industries Corporation (Japan) (TICO) for the restructuring of UMW’s Industrial Equipment Business. This involved six wholly-owned subsidiaries of UMW operating across Malaysia, Singapore, Vietnam, and China, with a total transaction value of RM1 billion.
5. Assisted in a share acquisition involving Weststar Aviation Sdn Bhd and a top-tier global investment firm based in the United States of America.
6. Assisted and advised Ficus Group Capital Sdn Bhd in establishing the MGTC Green Fund in collaboration with the Malaysian Green Technology and Climate Change Corporation (MGTC), an agency of the Ministry of Natural Resources, Environment, and Climate Change (NRECC) including the establishment of a fund management company to manage the Greentech Fund as a joint venture between Ficus Capital and MGTC and drafting all relevant contractual documents.
